General Terms and Conditions
1. Introduction
- 1.1 These General Terms and Conditions (“Terms”) govern the use of the MacRoots (Pty) Ltd (“MacRoots”, “we”, “us”, “our”) website, as well as any transactions conducted through the website.
- 1.2 By using this website or engaging with our services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of our website and services immediately.
- 1.3 These Terms apply in conjunction with our Delivery and Collection Terms and Conditions, Repairs Terms and Conditions, and Privacy Policy. Customers are encouraged to review these additional policies where applicable.
- 1.4 These Terms also apply to any interactions with MacRoots, whether online, in-person, or via electronic communication.
- 1.5 Electronic communications, including emails and online orders, shall be legally binding and constitute official agreements between MacRoots and the customer.
2. Scope of Services
- 2.1 MacRoots provides ICT support solutions, including but not limited to managed IT support, network services, cloud storage, cybersecurity, hardware and software sales, repairs, web development, and Microsoft 365 integration.
- 2.2 Our services and products may be subject to additional vendor-specific end-user agreements and terms of use. By purchasing or using vendor-related services, you agree to be bound by their terms.
- 2.3 MacRoots may modify, suspend, or discontinue any service at its sole discretion, with or without notice, provided such modifications do not breach existing agreements with customers.
- 2.4 Response times for managed IT support services are communicated and agreed upon in Service Level Agreements (SLAs).
3. Orders and Payments
- 3.1 All orders placed with MacRoots are subject to acceptance. We reserve the right to refuse or cancel any order at our discretion.
- 3.2 Customers with an approved account are subject to the payment terms outlined in our Standard Terms and Conditions of Sale.
- 3.3 Customers without an account must make full payment before any work is commenced or products are dispatched via Electronic Funds Transfer (EFT).
- 3.4 All prices quoted are exclusive of VAT unless otherwise stated.
- 3.5 Payment must be made in full without deduction, set-off, or counterclaim unless otherwise agreed in writing by MacRoots.
- 3.6 Failure to pay any outstanding amounts may result in suspension or termination of services without prior notice.
4. Deliveries and Risk
- 4.1 Delivery timelines are estimates only. MacRoots shall not be liable for any delays in delivery beyond its control.
- 4.2 Risk transfers to the customer once goods leave our premises. Customers must inspect goods upon receipt and notify MacRoots immediately upon delivery or collection of any discrepancies or damages.
- 4.3 Specific delivery terms are governed by our Delivery and Collection Terms and Conditions.
- 4.4 MacRoots reserves the right to make partial deliveries where necessary.
5. Returns and Warranty
- 5.1 Returns are subject to MacRoots’ discretion and must comply with the conditions set by the product manufacturer.
- 5.2 Any warranties provided are those offered by the manufacturer. MacRoots does not provide any additional warranties.
- 5.3 The customer is responsible for return shipping costs unless otherwise agreed in writing.
- 5.4 Warranty claims must be made in accordance with the manufacturer’s guidelines, and MacRoots is not responsible for manufacturer-related delays.
6. Limitation of Liability
- 6.1 MacRoots shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services.
- 6.2 Our maximum liability, whether in contract, delict, or otherwise, shall not exceed the amount paid by the customer for the specific service or product in dispute.
- 6.3 MacRoots is not responsible for losses due to misuse, negligence, or unauthorized modifications of products or services.
- 6.4 MacRoots shall not be held liable for security breaches or data losses caused by third-party vendors.
7. Customer Responsibilities
- 7.1 Customers must ensure that all information provided to MacRoots is accurate and complete.
- 7.2 Customers using software or cloud services facilitated by MacRoots must comply with all relevant licensing agreements and terms of use.
- 7.3 Customers must maintain the confidentiality of any login credentials, software licenses, or security access provided by MacRoots.
- 7.4 Customers may not resell or distribute software/licenses obtained from MacRoots without express permission. They are encouraged to make use of appropriate distribution channels.
8. Privacy and Data Protection
- 8.1 Personal data collected by MacRoots is processed in accordance with our Privacy Policy.
- 8.2 Customers engaging with our services consent to the processing and storage of their personal data as required to fulfil contractual obligations.
- 8.3 MacRoots implements reasonable security measures to protect customer data but is not liable for breaches beyond its control.
9. Amendments to Terms
- 9.1 MacRoots reserves the right to amend these Terms at any time. Continued use of our website or services constitutes acceptance of the revised Terms.
10. Dispute Resolution
- 10.1 Any disputes arising from these Terms shall first be attempted to be resolved amicably between the parties.
- 10.2 If no resolution is achieved, disputes shall be referred to mediation before any legal proceedings are initiated.
11. Governing Law and Jurisdiction
- 11.1 These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
- 11.2 Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
